Duties:
1) Manage the establishment, de-registration, re-registration of changes in company registration information (equity structure, registered capital, etc.);
(2) Review internal resolution/decision documents, and external communications and letters with local regulatory authorities and/or other third parties;
(3) Review various contractual documents such as contracts, agreements, amendments, addendum, and letters related to the local company’s daily operations;
(4) Lead legal related financing work, review financing documents, handle guarantee, mortgage/pledge matters;
(5) Lead legal related M&A projects, review transaction documents, and complete the entire process of share transactions;
(6) Manage various procurement, subcontracting, qualification and other legal issues related to the project during the construction period;
(7) Lead disputes related to the company, claim compensation, respond to administrative penalties, participate in litigation/arbitration;
(8) Lead legal consulting services and issue opinions on the legality and compliance of related matters;
(9) Verify whether any rules and regulations issued by the company comply with current laws and regulations;
(10) Manage legal due diligence conducted by external law firm;
(11) Responsible for establishing, reviewing, and implementing the company's occupational health and safety, environmental protection, and other related systems;
(12) Lead other legal matters to protect the interests of the company before various organizations/institution.
Work experience: at least 5 years.
Extensive experience in corporate law (with the focus on LLP’s);Extensive experience in corporate law (with the focus on LLP’s);
Extensive experience in contractual matters (in review, draft, negotiating of various types of contracts);
Experience in financing matters (attraction of loans, working with the banks/financial institutions);
Experience in regulatory industries (currency control matters; license/permits; construction sector);
Minimum work experience: 5 years.
Education: Higher education
Advantage: LLM/Master’s degree in Law; experience in litigation;
